1. Nature of the Platform
Skillagig is a technology platform that serves as a neutral marketplace and gig economy facilitator. Skillagig is not an employer, agency, or contractor. We provide a venue for users who need tasks performed (“Gigs”) to connect with independent skilled workers (“Skillsters”).
- No Employment Relationship: Nothing in these Terms shall be construed as creating an employer-employee relationship, joint venture, or partnership between Skillagig and any user.
- Independent Discretion: Skillsters maintain absolute discretion over how, when, and where they perform their services. Skillagig does not provide tools, training, or supervision.
- Mission-Driven Marketplace: Our platform is built to provide a high-trust environment through automated workflows and rigorous identity verification.
2. Verification & Background Checks
To enhance community safety, Skillagig offers identity verification (ID) via Stripe Identity, Motor Vehicle Record (MVR) checks, and professional license checks.
- Third-Party Data: Verification is performed by third-party vendors. Skillagig provides the results as reported to us and does not guarantee the absolute accuracy or current validity of such records at the time a job is performed.
- User Duty to Verify: Users are strictly required to perform their own final due diligence. A Skillster may be verified on the platform, but the business they represent may send an unverified employee or subcontractor to your location. Skillagig is not liable for the actions of any individual not explicitly registered and verified on our platform.
- Professional Licenses: It is the user’s responsibility to confirm that a Skillster’s license is appropriate for the specific local regulations governing the task (e.g., local plumbing codes or electrical permits).
3. Communications & SMS Policy (Compliance)
By using Skillagig, you agree to receive communications from us, including email and SMS/text messages.
- SMS Opt-In: During registration, users must provide explicit consent to receive SMS notifications. These messages may include account security alerts, gig matches, and “Secure Vault” status updates.
- Opt-Out (STOP): You may opt out of SMS communications at any time by replying STOP to any message. A final confirmation message will be sent to acknowledge your request.
- Help (HELP): You may reply HELP to any message for customer support information.
- Terms & Rates: Standard message and data rates may apply. Message frequency varies based on platform activity.
- Non-Conditionality: Consent to receive marketing or notification SMS is not a condition of purchase or use of the platform, though it may impact your ability to receive real-time gig alerts.
4. Payments & Secure Vault
Skillagig provides a “Secure Vault” system to facilitate safe transactions.
- The Secure Vault Process: Funds are held securely by our payment processor (Stripe) once a job is booked. Funds are only released to the Skillster once the user confirms job completion or the dispute period elapses without action.
- Circumvention Policy: Any attempt to communicate or process payments outside of the Skillagig platform for connections made through the platform is a material breach of these Terms.
- Off-Platform Liability: If you pay a Skillster outside of Skillagig, you lose all protections. Skillagig is not responsible for fraud, incomplete work, or dispute management for any off-platform transactions.
5. Fees and Service Charges
By using Skillagig, you agree to the following non-refundable fee structure processed via Stripe.
- Identity Verification Fee: A one-time, non-refundable fee of $2.00 charged at the time of Stripe Identity verification.
- Job Application Fee: Skillsters are charged a flat, non-refundable fee of $2.00 for every job application submitted to ensure high-quality intent.
- Platform Commission (Service Fee): Skillagig charges a service fee equal to 5% of the total contract amount, deducted from the final payout held in the Secure Vault.
- Processing Fees: The client (Gigster) is responsible for the contract price plus applicable Stripe processing fees (Credit Card, ACH, etc.).
6. Dispute Management Service
Skillagig offers an evidence-based dispute resolution process for jobs workflowed entirely through the platform.
- Evidence Required: Users must provide documentation (photos, messages, contracts) via the Skillagig interface.
- Finality: Skillagig’s decision in a dispute is final and binding for the purpose of releasing or refunding funds held in the Secure Vault.
7. Intellectual Property & Brand
- Trademarks: “Skillagig” is a trademark of Skillagig LLC.
- Integrations: The platform may feature integrations with specialized tools, use of these integrated tools is subject to these same Terms of Service.
8. Limitation of Liability & Indemnification
- “As-Is” Service: Skillagig is provided “as is.” We do not guarantee the quality, safety, or legality of the jobs posted.
- Liability Cap: Skillagig’s total liability is limited to the total fees paid by the user to Skillagig in the six months preceding the claim.
- Indemnification: You agree to hold Skillagig harmless from claims resulting from your interactions with other users or your breach of these Terms.
9. Dispute Resolution; Binding Arbitration
- Mandatory Binding Arbitration: All disputes will be settled by binding individual arbitration administered by the AAA, not in a court of law.
- Venue: The seat of arbitration shall be Hamilton County, Indiana.
- Class Action Waiver: You agree to bring claims only in an individual capacity and not as a plaintiff or class member in any class proceeding.
- Opt-Out: You may opt out of this clause by emailing legal@skillagig.com within thirty (30) days of first accepting these Terms.
10. Governing Law
These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles. Any legal action not subject to arbitration shall be filed in the courts of Hamilton County, Indiana.
Secure Vault Agreement
Version 1.1 – Effective February 28, 2026
This Secure Vault Agreement (“Agreement”) governs the use of the Skillagig payment protection system. By initiating a “Gig” or “Contract” on Skillagig, the Gigster (Client), the Skillster (Worker), and Skillagig (Platform) agree to the following:
1. The Nature of the "Secure Vault"
The Secure Vault is a digital facilitation service to securely hold your funds. Skillagig is not a bank, a qualified escrow agent, or a fiduciary. The Secure Vault is a technology-enabled workflow that directs our third-party payment processor (Stripe) to hold and disburse funds based on the completion of milestones or job status.
2. Funding and Identity Requirements
- Verification Pre-requisite: No funds may be deposited into or released from the Secure Vault until both the Gigster and the Skillster have successfully completed Stripe Identity verification. A non-refundable $2.00 fee applies to this verification process.
- Obligation to Fund: Once a Skillster is selected, the Gigster must deposit the full contract amount plus applicable Stripe processing fees into the Secure Vault.
- Confirmation & SMS Alerts: Skillagig will notify the Skillster via the platform and SMS (if opted-in) once the funds are “Secured.” Skillsters are strictly advised not to begin work until they receive this “Funds Secured” notification.
- Security: Funds are held in a segregated account by Stripe and are not part of Skillagig’s operating capital.
3. Release of Funds (The "Payout Trigger")
Funds held in the Secure Vault will be released to the Skillster only upon the occurrence of one of the following:
- Manual Release: The Gigster marks the job as “Complete” or clicks “Release Funds” via the Skillagig interface.
- Auto-Approval: If the Skillster marks the job as “Complete” and the Gigster fails to approve or open a dispute within 72 hours, Skillagig is irrevocably authorized to instruct Stripe to release the funds.
- Dispute Resolution: In the event of a dispute, funds are released only according to a mutual settlement or a final decision rendered by the Skillagig Dispute Management Service.
4. No-Bypass (Anti-Circumvention) Rule
To ensure the protection of the Secure Vault and the integrity of the marketplace:
- Users agree not to solicit or accept payments outside of the Skillagig platform for any job initiated or connection made on Skillagig.
- Loss of Protection: If a payment is made off-platform, this Agreement is void. Skillagig will not provide dispute assistance, SMS status updates, or insurance access, and the user’s account may be permanently suspended.
5. Refund Policy for Vaulted Funds
- Pre-Work Cancellation: If a job is canceled by mutual consent before work has commenced, the Vaulted funds (minus non-refundable Stripe processing fees) will be returned to the Gigster.
- Partial Completion: If a job is partially completed, the parties may agree to a “Partial Release” where a portion of the Vault is paid to the Skillster and the remainder is refunded to the Gigster.
- Non-Refundable Fees: Please note that Identity Verification fees ($2.00) and Job Application fees ($2.00) are strictly non-refundable and are not held in the Secure Vault.
6. Role of Stripe and SMS Compliance
- Stripe Integration: All Vault transactions are subject to the Stripe Connected Account Agreement. Skillagig’s role is limited to the technological instruction of Stripe.
- SMS Notifications: By using the Secure Vault, users acknowledge that critical status updates (e.g., “Funds Secured,” “Payment Released,” or “Dispute Initiated”) will be sent via SMS. Standard message and data rates apply. Users may opt out by replying STOP, though this may delay their awareness of payment status.
7. Dispute Hold
If a dispute is initiated, the funds will remain “Locked” in the Secure Vault. Skillagig will not release funds to either party until the dispute process facilitated through our evidence-based workflow is concluded. No interest shall accrue on funds held in the Vault during a dispute.
8. Governing Law and Jurisdiction
This Agreement is governed by the laws of the State of Indiana. Any legal proceedings related to the Secure Vault that are not subject to the mandatory arbitration clause in the Terms of Service shall be brought exclusively in the courts of Hamilton County, Indiana.
Privacy Policy

At Skillagig, we take your privacy as seriously as the skills you provide. This policy explains how we collect, use, and protect your information across our marketplace platform.
1. Information We Collect
To maintain a trusted marketplace, we collect the following categories of information:
- Account Data: Name, email, phone number, and password.
- Skillster Profile Data: Portfolio items, skills, location, and user reviews.
- Sensitive Verification Data: To verify your identity, we (via Stripe Identity) collect images of your government-issued ID and a “selfie” to perform biometric matching.
- Communication Data: Logs of messages sent within the Skillagig platform and records of your SMS opt-in/opt-out status.
- Transaction Data: Payment history, job amounts, and “Secure Vault” payout details.
2. How We Use Your Data
We use your information to:
- Facilitate Matches: Connect Gigsters with the right Skillsters based on proximity and skill.
- Secure Payments: Process fees and manage the Secure Vault via Stripe.
- Real-Time Notifications: Send critical updates via SMS regarding account security, gig matches, and payment status (for users who have opted in).
- Enhance Trust: Display “Verified” badges on profiles that have successfully passed Stripe Identity checks.
- Dispute Resolution: Review chat logs and evidence to resolve conflicts via our Dispute Management Service (DMS).
3. Third-Party Data Sharing
We do not sell your personal data. We share information only with essential service providers:
- Stripe (Identity & Payments): Skillagig uses Stripe for ID verification and payment processing. When you provide ID documents, you are providing them directly to Stripe. Skillagig receives the result (e.g., “Verified” or “Failed”) and a truncated version of your data.
- Communication Partners: We use third-party SMS gateways to deliver automated notifications. These providers are prohibited from using your phone number for any purpose other than delivering Skillagig messages.
- Legal & IP Counsel: We work with specialized legal partners to ensure our data handling meets evolving IP and privacy regulations.
4. Data Retention & Deletion
- Retention: We retain account data as long as your account is active. Transactional and tax-related data are retained for 7 years to comply with U.S. and international financial regulations.
- Deletion: You may request account deletion at any time via settings or by emailing privacy@skillagig.com.
- Biometric Data: Skillagig does not store your biometric data. Biometric “identifiers” are handled by Stripe according to their own strict retention and deletion policies.
5. Your Rights & SMS Controls
- Access & Correction: You have the right to request a copy of your data or fix inaccuracies.
- SMS Opt-Out: You can stop receiving SMS notifications at any time by replying STOP. Please note that opting out of SMS may result in missing time-sensitive “Secure Vault” or “Gig Match” alerts.
- State-Specific Rights: We comply with applicable privacy laws (such as CCPA/CPRA where relevant) regarding your right to limit the use of “Sensitive Personal Information.”
6. Security Measures
We implement industry-standard encryption (AES-256 at rest and TLS in transit). Because we utilize Stripe’s secure infrastructure, Skillagig never stores your full credit card number or your raw government ID documents on our own servers.
7. Children’s Privacy
Skillagig is a marketplace for adults. We do not knowingly collect data from anyone under the age of 18 (or the legal age of majority in your jurisdiction).
Dispute Management Service (DMS)

The Skillagig Dispute Management Service is a structured process available to users for resolving disagreements regarding jobs workflowed entirely through the Skillagig platform and funded via the Secure Vault.
1. Eligibility for Dispute Services
To qualify for the DMS, a job must meet the following “Platform Workflow” criteria:
- Verified Status: Both parties must have a “Verified” badge, confirmed via the mandatory Stripe Identity check ($2.00 one-time fee).
On-Platform - Communication: All project requirements, changes, and approvals must be documented in the Skillagig messaging system.
- Secure Vault Funding: The job must have been fully funded in the Secure Vault prior to the dispute arising.
- Timely Filing: A dispute must be opened within 72 hours of a job being marked as “Complete” by the Skillster, or at any time during an active “In Progress” job.
2. The Three-Stage Resolution Process
We prioritize mutual agreement between users before platform intervention.
Stage 1: Mutual Negotiation (Mandatory)
Once a dispute is flagged, the Secure Vault is “Locked.” Both parties receive an email and/or SMS notification and have 48 hours to reach a private settlement via the platform.
- Settlement Options: Parties can agree to a full refund, a full payout, or a partial split of the vaulted funds.
- Outcome: If an agreement is reached, the funds are released immediately per the mutual instruction.
Stage 2: Evidence Submission
If Stage 1 fails, Skillagig will request an Evidence Bundle from both parties. To win a dispute, you must provide objective proof.
- Acceptable Evidence Includes:
- Screenshots of agreed-upon project scope in the Skillagig chat.
- Photos/videos of the work performed (or lack thereof).
- Time logs or GPS check-ins (mandatory for physical tasks).
- Specific outputs (e.g., logo files for design tasks).
- Failure to Respond: If a party fails to provide evidence within 48 hours of the request, the dispute may be automatically decided in favor of the responding party.
Stage 3: Platform Review & Final Decision
A Skillagig Dispute Specialist will review the Evidence Bundle. Our review is limited to determining whether the “Done” criteria defined in the original gig post were met.
- Basis of Decision: We do not judge “quality” subjectively (e.g., “I don’t like the shade of blue”). We judge based on the objective scope (e.g., “Was the logo delivered in the requested PNG format?”).
- Binding Nature: By using the DMS, both parties agree that Skillagig’s decision regarding the distribution of Secure Vault funds is final and non-appealable for the purpose of the platform’s authorized payout release..
3. Limitation of Scope
- No Legal Representation: The DMS is an administrative service for the release of funds held in the Secure Vault. It is not a legal proceeding. Skillagig does not provide legal advice or act as a formal arbitrator.
- Off-Platform Work: Skillagig will not review evidence from outside sources (e.g., WhatsApp, personal email, or cash receipts). If it didn’t happen on Skillagig, it didn’t happen.
- Physical Damage/Injury: The DMS only manages the contract funds. Claims involving physical property damage or personal injury must be handled through the users’ respective insurance providers, as outlined in the Skillagig Terms of Service.
4. Dispute Fees
To discourage frivolous claims and maintain the integrity of the marketplace:
- Skillagig reserves the right to charge a $15.00 Dispute Filing Fee to the party that initiates a formal Stage 3 review.
- If the initiating party wins the dispute, this fee may be refunded or charged to the losing party at Skillagig’s discretion.
5. SMS & Real-Time Alerts
Because disputes are time-sensitive, all Stage 1 and Stage 2 deadlines are triggered via email and/or SMS alerts. Failure to respond to the notification does not extend the 48-hour evidence window. For SMS standard message and data rates apply.
Skillster/Gigster Terms

Skillagig is a dual-sided marketplace. Users may act as a Gigster in one transaction and a Skillster in another. Your obligations change based on the role you are fulfilling.
1. Terms for Skillsters (Service Providers)
As a Skillster, you are an independent professional utilizing Skillagig to find and manage work. By applying for a Gig, you agree to the following:
- Verified Identity: You must complete the Stripe Identity verification process ($2.00 non-refundable fee) before you can apply for jobs or receive payouts.
- Job Application Fees: You acknowledge that a flat, non-refundable fee of $2.00 is charged for every job application submitted to ensure high-quality intent.
- Professionalism & Licensing: You represent that you possess the skills, tools, and any legally required professional licenses or insurance (e.g., commercial auto, workers’ comp) necessary to perform the task safely and legally.
- The “Secure Vault” Reliance: You are strictly advised not to begin work until you receive an SMS or platform notification confirming that funds have been “Secured” in the Vault.
- Service Fees: You agree to a 5% platform commission, which is automatically deducted from the final payout held in the Secure Vault upon successful completion of a contract.
- Direct Communication: You agree to document all project milestones and “Done” criteria within the Skillagig messaging system to ensure eligibility for the Dispute Management Service (DMS).
2. Terms for Gigsters (Clients)
As a Gigster, you are utilizing Skillagig to source skilled talent. By posting a Gig or hiring a Skillster, you agree to the following:
- Funding Requirement: Once you select a Skillster, you must deposit the full contract amount plus applicable Stripe processing fees into the Secure Vault. Work cannot commence until these funds are secured.
- Duty of Due Diligence: While Skillagig facilitates ID verification, you are responsible for performing final due diligence. You must confirm that the individual arriving at your location matches the verified profile and that their specific licenses meet local Hamilton County/Indiana regulations for the task.
- Safe Environment: You agree to provide a safe, harassment-free environment for Skillsters to perform their work.
- Prompt Approval: You agree to review and approve work promptly. If a job is marked “Complete” and you do not approve or initiate a dispute within 72 hours, the funds will be automatically released to the Skillster.
- Identity Verification: To prevent fraud and ensure a secure payout environment, Gigsters must also complete the Stripe Identity verification process.
3. Shared Terms (Applicable to Both Roles)
- Anti-Circumvention: Both Skillsters and Gigsters are strictly prohibited from bypassing the platform to handle payments or communications “off-platform.” Doing so voids all Secure Vault protections, DMS eligibility, and may result in permanent account suspension.
- SMS Verification: Both roles must maintain a verified phone number to receive security codes and critical “Secure Vault” status updates.
- Dispute Participation: In the event of a disagreement, both parties agree to participate in the Dispute Management Service (DMS) in good faith, providing objective evidence (photos, chat logs) within the 48-hour submission window.

1. Be Real and Transparent
Trust starts with knowing exactly who you are working with.
- Authenticity: Use your real name and a clear, current photo. Misrepresentation is a zero-tolerance offense.
- Verified Status: All users must complete the Stripe Identity verification process. This ensures every person you message has been vetted against official government records.
- Skills Honesty: Only apply for jobs you are qualified to perform. Providing false certifications or exaggerating experience undermines the platform’s integrity.
- Keep it on Skillagig: To protect your payments via the Secure Vault, all communication and payments must happen through the app. Moving off-platform voids the DMS protections.
2. Safety First, Always
We are a “Safety-First” platform. Every check we provide—ID, Background, and MVR—is a tool for your protection.
- On-Site Safety: If a job requires physical presence, be mindful of your surroundings. Skillsters should arrive with proper safety gear, and Gigsters must provide a safe, harassment-free environment.
- Real-Time Awareness: Respond to SMS alerts regarding gig status and safety updates. Staying connected ensures you are never left in the dark during a live project.
- Zero Tolerance for Harassment: There is no room for hate speech, discrimination, bullying, or unwanted advances. We celebrate a diverse global community of backgrounds and skills.
- Protect Privacy: Never share a user’s private information (phone, address, email) outside of what is strictly necessary to complete a gig.
3. Professionalism & Quality
Skillagig is a marketplace for experts. Whether you are moving boxes or using technical tools, quality and reliability matter.
- Clear Communication: Respond to messages and SMS notifications promptly. If a deadline changes, communicate it immediately within the Skillagig chat.
- Honor Your Commitments: Cancellations hurt the community. Only book or award a job if you are 100% committed to showing up and delivering.
- Fair Pricing: Skillsters should set fair rates for their expertise, and Gigsters should respect the value of that skill. Remember that the $2.00 application fee and $2.00 verification fee are non-refundable and designed to ensure high-intent participation.
4. Constructive Feedback
Reviews are the lifeblood of the Skillagig ecosystem.
- Be Honest but Kind: Leave reviews that are factual and helpful. If a job didn’t go well, explain why constructively rather than using personal attacks.
- No “Feedback Padding”: Attempting to boost your rating through fake jobs, self-hiring, or bribing users for 5-star reviews will result in immediate account suspension.
- Dispute Integrity: If you enter the Dispute Management Service (DMS), remain professional. Use the evidence-based process to reach a resolution rather than resorting to hostility.
SMS Notification & Verification Policy

This policy governs the use of Short Message Service (SMS) for account security, phone number verification, and future platform notifications. By providing your mobile number to Skillagig, you agree to the following communication standards:
1. Primary Purpose: Mandatory Verification
To maintain the high-trust environment of the Skillagig marketplace, we utilize SMS for essential security and account activation functions:
- Phone Number Verification: Upon registration, a unique code is sent to your mobile device. You must enter this code to verify your contact information; this is a required step to activate your Skillagig account.
- Identity & Security Alerts: Notifications related to your Stripe Identity verification status ($2.00 fee applies) and Two-Factor Authentication (2FA) for secure logins or updating payout methods.
2. Future Feature Roadmap (Optional Opt-In)
While SMS is currently limited to security and verification, Skillagig is developing additional real-time notification features. In the future, you will be able to opt-in to receiving:
- Gig Matching Alerts: Instant notifications when a new job matches your “Skillster” profile or specialized tools.
- Secure Vault Updates: Real-time alerts when funds are “Secured” or when a payout has been initiated.
- Dispute Management (DMS): Critical triggers and deadlines if a job enters the formal dispute process.
3. User Consent and Control
- Explicit Opt-In: By entering your mobile number and requesting a verification code, you provide explicit consent to receive automated security and verification text messages from Skillagig.
- To Opt-Out (STOP): You may reply STOP to any Skillagig text message at any time. You will receive one final “Opt-Out Confirmation” message.
Note: Opting out may prevent you from completing account setup, receiving identity verification results, or accessing your account if 2FA is active. - To Get Help (HELP): Reply HELP to any Skillagig text message for support instructions or contact support@skillagig.com.
4. Message Frequency and Rates
- Frequency: Message frequency is strictly tied to user-initiated actions, such as signing up, logging in, or requesting a verification code.
- Carrier Charges: Standard message and data rates may apply based on your mobile carrier plan. Skillagig does not charge a separate fee for sending these verification codes.
5. Privacy and Compliance
- Data Protection: Your mobile number is protected under the Skillagig Privacy Policy. We do not sell, rent, or share your number with third parties for marketing purposes.
- A2P Compliance: Skillagig utilizes verified A2P (Application-to-Person) 10DLC pathways to ensure high deliverability and security for your verification codes.
- Jurisdiction: This policy is governed by the laws of the State of Indiana, with primary jurisdiction in Hamilton County.
6. Limitation of Liability
While Skillagig strives for 100% deliverability, we are not liable for delayed or undelivered messages resulting from carrier outages, technical failures outside of our control, or the user being in an area without cellular reception. Users are encouraged to check the Skillagig web or mobile app regularly for the most up-to-date project status.
Trust & Verification Services
To ensure the safety of the Skillagig community, we provide a multi-layered verification system. While these tools significantly enhance security, they are intended to supplement—not replace—user due diligence.
1. Identity Verification (via Stripe Identity)
Every user on the platform must prove they are who they say they are before engaging in transactions.
- The Process: Skillagig utilizes Stripe Identity to verify government-issued IDs and perform biometric “selfie” matching.
- Cost: A one-time, non-refundable $2.00 fee is charged to the user at the time of verification.
- Data Privacy: Skillagig does not store your raw ID documents or biometric data. This information is handled securely by Stripe.
2. Background & MVR Checks with Continuous Monitoring (via Checkr)
For Gigs that involve trust-sensitive environments, Skillagig facilitates advanced screening through Checkr.
- Initial Screening: Skillsters may undergo a criminal background check or Motor Vehicle Record (MVR) check to verify history and eligibility.
- Continuous Monitoring: Unlike a standard “one-time” check, the fee for Skillagig background checks includes continuous monitoring. This means the platform is proactively notified of new reportable records, ensuring that a Skillster’s “Verified” status remains accurate throughout their time on the platform.
- Consent: By requesting these checks, you provide explicit authorization for Checkr to perform both the initial screening and ongoing monitoring, with results shared directly with Skillagig.
3. Professional License Verification (via Checkr)
To ensure “Skilled” work is performed by qualified professionals, we offer license verification services.
- Verification Scope: We utilize Checkr to verify active status for specific professional licenses (e.g., Electrical, Plumbing, HVAC, or specialized certifications).
- User Responsibility: While Skillagig verifies that a license is active, the Gigster is responsible for ensuring the specific license type is appropriate for their specific project and local permits.
4. Limitations and Disclaimers
- Third-Party Accuracy: Skillagig relies on data provided by Stripe and Checkr. We are not liable for inaccuracies or delays originating from these third-party databases.
- Final Due Diligence: Crucial Safety Note: A Skillster may have a verified profile, but if they represent a business, they might send an unverified employee or subcontractor to a job site. Gigsters must always verify the ID of the person standing at their door to ensure they match the verified Skillagig profile.
Arbitration Agreement
Version 1.0 – Effective March 2, 2026
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
1. Mandatory Binding Arbitration
You and Skillagig agree that any dispute, claim, or controversy arising out of or relating to these Terms, the use of the Skillagig platform, the “Secure Vault,” or the breach, termination, enforcement, interpretation, or validity thereof (collectively, “Disputes”) will be settled by binding individual arbitration, and not in a court of law.
2. Class Action Waiver
YOU AND SKILLAGIG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Skillagig agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
3. Exceptions to Arbitration
Notwithstanding the mandatory arbitration requirement, both parties retain the right to:
- Small Claims Court: Bring an individual action in small claims court (specifically within Hamilton County, Indiana).
- Intellectual Property: Seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s intellectual property rights (including the Skillagig™ trademark and specialized software.
4. Arbitration Rules and Venue
- Administration: The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules.
- Seat of Arbitration: The seat and venue of the arbitration shall be Hamilton County, Indiana, unless both parties mutually agree to an alternative location or virtual proceeding.
- Governing Law: The arbitrator shall apply the laws of the State of Indiana.
- Judgment: Any court of competent jurisdiction located in Hamilton County, Indiana, may enter judgment on the award rendered by the arbitrator.
5. Costs of Arbitration
Payment of all filing, administration, and arbitrator fees will be governed by the AAA’s rules. If your claim is for $10,000 or less, Skillagig agrees to reimburse those fees upon the conclusion of the proceeding, unless the arbitrator finds that either the substance of your claim or the relief sought was frivolous or brought for an improper purpose.
6. Opt-Out Right
You have the right to opt out of this Arbitration Agreement. To do so, you must send a clear written notice of your decision to opt out to legal@skillagig.com within thirty (30) days of first creating an account or accepting these Terms.
- Your notice must include your full name and the email address associated with your Skillagig account.
- If you opt out, neither you nor Skillagig can force the other to arbitrate, and the dispute shall be resolved in the state or federal courts located in Hamilton County, Indiana.
7. Severability
If any portion of this Arbitration Agreement is found to be unenforceable or unlawful for any reason, that specific portion shall be severed, and the remainder of the Arbitration Agreement shall be given full force and effect.
Disclaimers; Limitation of Liability; and Indemnity
1. "As-Is" and "As-Available" Disclaimer
THE SKILLAGIG PLATFORM AND ALL CONTENT, SERVICES, AND PRODUCTS ASSOCIATED WITH IT (INCLUDING THIRD-PARTY INTEGRATIONS LIKE STRIPE, AND CHECKR) ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. SKILLAGIG MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE PLATFORM OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, SKILLAGIG DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE PLATFORM IS FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.
2. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW (INCLUDING INDIANA CODE § 26-1-2-719), SKILLAGIG, ITS FOUNDERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH:
- USER INTERACTIONS: ANY CONDUCT, BODILY INJURY, PROPERTY DAMAGE, OR DISPUTES ARISING FROM INTERACTIONS BETWEEN GIGSTERS AND SKILLSTERS.
- THIRD-PARTY FAILURES: ANY ERRORS, OUTAGES, OR DATA BREACHES ORIGINATING FROM STRIPE (PAYMENTS/ID) OR CHECKR (BACKGROUND/MVR/LICENSING).
- TECHNICAL ISSUES: PLATFORM DOWNTIME, LOSS OF DATA, OR BUGS WITHIN THE SKILLAGIG INTERFACE.
LIABILITY CAP: IN NO EVENT SHALL SKILLAGIG’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE TOTAL FEES PAID BY YOU TO SKILLAGIG IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
3. Indemnification
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS SKILLAGIG LLC (AND ITS OFFICERS, DIRECTORS, AND AGENTS) FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEY’S FEES) ARISING FROM:
- YOUR BREACH: YOUR VIOLATION OF THESE TERMS OR THE COMMUNITY GUIDELINES.
- YOUR ACTIONS: ANY NEGLIGENT ACT OR WILLFUL MISCONDUCT BY YOU DURING THE PERFORMANCE OR RECEIPT OF A GIG.
- THIRD-PARTY CLAIMS: ANY CLAIM BROUGHT BY A THIRD PARTY RESULTING FROM YOUR USE OF THE PLATFORM OR YOUR INTERACTION WITH OTHER USERS.
- TAXES: ANY LIABILITY ARISING FROM YOUR FAILURE TO REPORT OR PAY TAXES ON EARNINGS FACILITATED BY THE PLATFORM.
4. Service Provider Disclaimer (Crucial for Marketplace)
SKILLAGIG IS A VENUE ONLY. WE DO NOT EMPLOY SKILLSTERS. WE ARE NOT RESPONSIBLE FOR THE QUALITY, TIMING, OR LEGALITY OF THE SERVICES ACTUALLY DELIVERED. WHILE WE FACILITATE VERIFICATION THROUGH CHECKR AND STRIPE, WE DO NOT GUARANTEE THE ACCURACY OF THIRD-PARTY RECORDS. USERS ARE SOLELY RESPONSIBLE FOR THEIR OWN SAFETY AND DUE DILIGENCE WHEN ENGAGING WITH OTHER USERS IN PERSON.
Tax Reporting & Compliance
By participating in the Skillagig marketplace, you acknowledge and agree to the following terms regarding tax documentation and reporting.
1. Platform Classification
Skillagig is a Third-Party Settlement Organization (TPSO). We do not provide employment, and we do not withhold income tax from payments. We utilize Stripe Connect to facilitate all payment settlements and to automate federal and state tax reporting.
2. Form 1099-K Reporting Thresholds
In accordance with IRS regulations and the One Big Beautiful Bill (OBBB) Act, Skillagig (via Stripe) will issue a Form 1099-K to Skillsters who meet the following criteria during a calendar year:
- Federal Threshold: Gross payments exceeding $20,000 and more than 200 transactions.
- State Thresholds: Note that some states have lower reporting thresholds (as low as $600). Skillagig will automatically comply with these state-specific requirements where applicable.
- Indiana Specifics: For users in Indiana, reporting is generally required if state taxes are withheld or if the federal threshold is met.
3. Automated Collection of Tax Information
To ensure timely and accurate filing:
- Taxpayer Identification: Skillsters must provide an accurate Social Security Number (SSN) or Employer Identification Number (EIN) through the Stripe Express onboarding process.
- W-9 Collection: Skillagig will trigger a request for a digital W-9 once you approach the $600 earnings mark to prevent any delays in payouts once the reporting threshold is reached.
- Backup Withholding: If accurate tax information is not provided, Skillagig may be required by law to implement backup withholding on your earnings at the current IRS rate.
4. Delivery and Deadlines
- Electronic Delivery: You consent to receive your 1099-K electronically via your Stripe dashboard. You will receive an email notification once your form is ready for download.
- Timing: In accordance with IRS deadlines, 1099-K forms are generally delivered to payees by January 31st of the following year.
- Data Retention: Skillagig and Stripe will maintain records of your tax forms for a minimum of seven (7) years to comply with statutory record-keeping requirements.
5. User Responsibility
The issuance of a 1099-K is for informational purposes only. Skillsters are independent contractors and are solely responsible for:
- Reporting all income to the IRS and state authorities, regardless of whether a 1099-K was issued.
- Determining and paying all self-employment, income, or other taxes due on their earnings.
- Reconciling the Gross Volume reported on the 1099-K (which includes platform fees and refunds) against their own financial records for accurate tax filing.
